Understanding Equity: ISOs, RSUs, and Stock Options

Decoding Equity Compensation

For an Architect, your Equity (Stock) is often worth more than your Salary. If you don't understand the difference between an RSU and an ISO, you might be leaving millions on the table.

1. RSUs (Restricted Stock Units)

Common in public companies (Google, Meta). They are essentially 'Future Cash'. When they vest, they are yours. If the stock price goes up, you get a raise. If it goes down, you still have something. These are the safest form of equity.

2. Stock Options (ISOs & NSOs)

Common in startups. You don't own the stock; you own the **Right to Buy** it at a fixed price (Strike Price). If the company goes from $1 to $100, you make a fortune. If it stays at $1, your options are worth $0. **High Risk, High Reward.**

3. The Vesting Schedule

Standard is '4 years with a 1-year cliff'. This means you get nothing if you leave before 1 year. After that, you get 1/4th of your stock every year. **Architect Tip:** Always negotiate for a 'Shortened Vesting' or a 'Promotion Refresh' to ensure your total comp stays high as you grow.

4. Career Mastery

Q: "How do I value equity in a private startup?"

Architect Answer: "Look at the **Liquidation Preference** and the **Preferred Stock** status. If the company is sold for less than the VC investment, common stockholders (employees) often get zero. I value startup equity at 20-50% of its 'Paper Value' to account for this risk. If a startup offers you 'Lots of options' but a low salary, they are asking YOU to be a Venture Capitalist. Make sure you believe in the product as much as the Founders do."
